These Terms of Service ("Terms") apply to all orders, agreements, and use of the website, products, and services of Paul Coenen Studio, operating under the name Paul Coenen Studio, with its registered office in Industrieweg 194, 5683CH Best, The Netherlands ("we", "us", or "our"). By placing an order, requesting a quotation, or using our services, you agree to these Terms.

1. Applicability

1.1 These Terms apply to all offers, quotations, agreements, deliveries, and services provided by us, unless expressly agreed otherwise in writing.
1.2 Any general terms and conditions of the customer are expressly rejected.

2. Offers and Quotations

2.1 All offers and quotations are non-binding unless stated otherwise.
2.2 Prices are valid for the period stated in the quotation. If no period is stated, prices are valid for 30 days.
2.3 Obvious errors or mistakes in offers, pricing, or product descriptions are not binding.

3. Orders and Agreement

3.1 An agreement is concluded when we confirm an order in writing or when we commence execution of the order.
3.2 We reserve the right to refuse or cancel orders without stating reasons.

4. Prices and Payment

4.1 All prices are stated in EUR and include VAT, and excludeimport duties, customs fees, and other levies unless stated otherwise.
4.2 Payment terms are 100% upfront, unless agreed otherwise in writing.
4.3 In case of late payment, statutory interest and reasonable collection costs may be charged.

5. Delivery and Lead Times

5.1 Stated delivery times are indicative and not binding.
5.2 Delays in delivery do not entitle the customer to compensation or cancellation, unless explicitly agreed otherwise in writing.
5.3 Risk of loss or damage passes to the customer upon delivery or shipment.

6. Custom and Made-to-Order Products

6.1 Products made to order, customized, or produced according to customer specifications cannot be returned or cancelled after production has started.
6.2 Minor deviations in dimensions, finish, color, or material are inherent to handcrafted and experimental production methods and do not constitute defects.

7. Inspection and Complaints

7.1 The customer must inspect products immediately upon delivery.
7.2 Complaints must be submitted in writing within 7 days after delivery, stating the nature of the defect.
7.3 Failure to report within this period constitutes acceptance of the product.

8. Warranty

8.1 We warrant that products conform to the agreement at the time of delivery.
8.2 The warranty does not cover damage caused by improper use, normal wear and tear, modifications, or inadequate maintenance.

9. Liability

9.1 Our liability is limited to direct damages and shall never exceed the invoice value of the relevant product or service.
9.2 We are not liable for indirect or consequential damages, including but not limited to loss of profit, loss of data, or business interruption.

10. Force Majeure

10.1 We are not liable for failure to perform due to circumstances beyond our reasonable control, including but not limited to strikes, transport disruptions, supplier failures, or governmental measures.

11. Intellectual Property

11.1 All designs, drawings, photographs, texts, and other materials remain our intellectual property unless agreed otherwise in writing.
11.2 The customer may not reproduce, distribute, or commercially exploit our intellectual property without prior written consent.

12. Retention of Title

12.1 All delivered products remain our property until full payment has been received.

13. Termination

13.1 We may suspend or terminate an agreement if the customer fails to meet its obligations.

14. Governing Law and Jurisdiction

14.1 These Terms are governed by the laws of The Netherlands.
14.2 Any disputes shall be submitted exclusively to the competent court in THE NETHERLANDS.

15. Amendments

15.1 We reserve the right to amend these Terms. The most recent version will apply.
